General conditions of sale: Delivery is ex-plant (Holzem - Luxembourg). The goods travel at risks and perils of the recipient. Any damage must be reported to the driver in the manner required by law. Any delay in payment will lead automatically to a late payment penalty calculated by applying the balance due at a rate equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 10 points percentage, without that penalty harm the repayment of debt and without any reminder. Any breach by the customer, part or all of its payment obligations or delay, will lead, without prejudice to any damages, payment of lump-sum compensation for recovery costs of 40 euros, and the suspension of all current orders. In case of dispute, the Luxembourg Commercial Court has exclusive jurisdiction.

RETENTION OF TITLE: It is expressly stipulated that the delivered goods remain the property of the seller until complete payment of the amounts due. Upon sale of those goods by the buyer to third parties in any form whatsoever, the debt is considered to be transferred to the seller (Act of G.-D. of Luxembourg of 31 March 2000 on the effects of retention of title clauses).
